Please read these Terms of Service ("Terms") carefully before using the vzbal platform and services operated by vzbal Technologies ("vzbal", "we", "our", or "us").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.
These Terms constitute a legally binding agreement between you (individually or on behalf of your organisation) and vzbal. Use of the Service by anyone under the age of 18 is not permitted. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
vzbal provides a media planning and transparency platform that enables advertisers to manage campaigns, track media spend, approve plans, and collaborate with agencies and vendors. Features include, but are not limited to:
We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice.
You must register for an account to access most features of the Service. You agree to provide accurate, current, and complete information and to update it as necessary.
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately at support@vzbal.com of any unauthorised access or suspected security breach.
The Service supports multiple account roles — Advertiser, Agency, Vendor, and Admin. Access permissions are defined by the account owner and cannot be circumvented.
You agree not to use the Service to:
We reserve the right to suspend or terminate accounts that violate these provisions.
The Service, including all software, designs, logos, and content created by vzbal, is owned by vzbal and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service solely for your internal business purposes.
You retain ownership of all data, media plans, and content you upload to the Service ("User Content"). By uploading User Content, you grant vzbal a limited licence to process, store, and display it solely to provide the Service.
Access to paid features requires a subscription. Fees are charged in advance on a monthly or annual basis as specified at the time of purchase.
Payments are processed by a third-party payment provider. By providing payment information, you authorise us to charge the applicable fees to your payment method.
Subscription fees are non-refundable except as required by applicable law or as stated in a separate agreement. Contact billing@vzbal.com for billing disputes.
We may modify pricing with at least 30 days' notice. Continued use after the effective date constitutes acceptance of the new pricing.
Each party agrees to keep confidential any non-public information shared by the other party in connection with the Service and not to disclose it to third parties without prior written consent, except as required by law.
Either party may terminate the agreement with 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Service ceases. You may export your data within 30 days of termination; after which it may be deleted.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VZBAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra.
We reserve the right to update these Terms at any time. Material changes will be communicated by email or platform notice at least 14 days before taking effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
